These Professional Services Terms set forth additional terms governing YugabyteDB’s provision of Professional Services for the YugabyteDB Products. These terms are incorporated into and governed by the YugabyteDB Master Terms and Conditions (the ‘Agreement’).

  1. PROFESSIONAL SERVICES FRAMEWORK
    1. Service Types. YugabyteDB may provide Professional Services including but not limited to: (a) Discovery and Planning Services; (b) YugabyteDB Prompt Services; (c) Migration Services; (d) Center of Excellence Services; and (e) Expert Services. Detailed descriptions of each service type are available in the Professional Services Policy at https://www.yugabyte.com/professional-services-policy/.
    2. Engagement Requirements. Customer will provide YugabyteDB with reasonable assistance and information to facilitate scheduling and performance of the Professional Services. Customer will also appoint an engagement manager to help ensure effective delivery of the Professional Services. Professional Services and any deliverables are accepted when delivered unless otherwise set forth in an Order Form. YugabyteDB may engage qualified subcontractors to provide the Professional Services, and YugabyteDB is responsible for any subcontractor’s compliance with this Agreement. YugabyteDB grants Customer a royalty-free, perpetual, nontransferable and nonexclusive license to use and reproduce any deliverables for Customer’s internal business purposes.
  2. BILLING MODELS
    Professional Services may be provided on either:

    1. Time and Materials Basis. Fees based on actual hours incurred at the rates specified in the applicable Order Form, invoiced monthly in arrears.
    2. Fixed Fee Basis. Total fees as specified in the applicable Order Form, invoiced upon execution of the Order Form, with a twelve (12) month service period from the Order Form effective date.
  3. SCHEDULING REQUIREMENTS
    1. Advance Scheduling. Professional Services must be scheduled prior to the desired start date.
    2. Workday Definition. A typical workday is eight (8) hours plus a one-hour lunch break. Weekends and local public holidays will not be considered workdays.
  4. TRAVEL AND EXPENSES
    1. Time and Materials Engagements. YugabyteDB will invoice Customer for actual travel and related expenses incurred by YugabyteDB personnel in connection with the Professional Services. Customer will pay such amounts pursuant to Section 3.2 of this Agreement.
    2. Fixed Fee Engagements. Travel and expenses are included in the total fixed fee and will not be separately invoiced.
  5. SERVICE PERIOD AND EXPIRATION
    1. Service Period. For Fixed Fee engagements, Customer shall have twelve (12) months from the Order Form effective date to use the Professional Services described in the applicable Order Form (“Service Period”).
    2. Automatic Expiration. Professional Services automatically expire on the last day of the Service Period, unless otherwise approved by YugabyteDB in writing.
    3. Completion Disputes. If Customer believes that the Professional Services outlined in an Order Form were not completed, Customer must notify YugabyteDB in writing at least thirty (30) days prior to the expiration of the Service Period.
    4. No Refunds. Under no circumstances shall Customer be entitled to a credit or refund of any unused portion of the Professional Services.
  6. CUSTOMER RESPONSIBILITIES
    1. Collaboration. The Professional Services engagement is collaborative, and Customer agrees to be fully engaged with YugabyteDB during execution of Professional Services.
    2. Prerequisites. Customer readiness with prerequisites as stated by YugabyteDB must be in place before the YugabyteDB team is expected to start the engagement.
    3. Resource Allocation. Customer will provide appropriate resources for the duration of each Professional Services engagement, including:
      1. Dedicated project managers to facilitate project planning and staffing;
      2. Access to and engagement of Customer personnel performing the work; and
      3. Appropriate access to all necessary Customer systems for all YugabyteDB team members assigned to the engagement.
